1. Acceptance of These Terms
These Terms of Use ("Terms") govern access to and use of Menyoo, a hospitality ERP platform providing ordering, kitchen display, table and order management, inventory, purchasing, accounting, payroll, and multi-branch management tools (the "Platform" or "Services"), operated by Menyoo Innovations LTD ("Menyoo," "we," "us," or "our").
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.
If you are using the Platform on behalf of a business (a restaurant, café, bar, hotel, or similar hospitality business), you represent that you have the authority to bind that business to these Terms, and "you" refers to both you individually and that business.
2. Definitions
- "Merchant" means a business that has registered for a Menyoo account to manage its operations through the Platform.
- "Staff Account" means a login created by a Merchant for an employee or team member, with access scoped to a role (Owner, Administrator, Manager, or Staff).
- "Customer" means an individual who places an order with a Merchant through the Platform's ordering interface.
- "Merchant Content" means menus, pricing, branding, employee records, inventory data, and any other data a Merchant enters into or generates through the Platform.
- "Subscription Plan" means the paid tier (Starter, Premium, Platinum, or Enterprise) a Merchant is subscribed to, which determines available features and limits (including the number of branches permitted).
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract under Nigerian law to register a Merchant account. The Platform is intended for use by businesses and their authorized staff, not by minors. We do not knowingly permit minors to hold Merchant or Staff Accounts.
4. Description of Services
Menyoo provides Merchants with tools including, depending on Subscription Plan:
- Digital menu management, online and in-venue ordering, and table/resource management;
- A Kitchen Display System for routing and tracking order preparation by station;
- Inventory tracking, recipe-linked stock deduction, and purchasing/supplier management;
- Double-entry accounting, expense tracking, and financial reporting;
- Employee records, shift scheduling, attendance, leave management, payroll, and staff loans;
- Multi-branch account management, subject to the branch limit of the Merchant's Subscription Plan.
We may add, modify, or remove features from time to time. We will make reasonable efforts to notify Merchants of material changes that reduce functionality they are actively paying for.
5. Account Registration & Security
- You must provide accurate, current information when registering, and keep it up to date.
- You are responsible for maintaining the confidentiality of login credentials for your Merchant and any Staff Accounts you create, and for all activity that occurs under those accounts.
- You must notify us promptly at hi@menyoo.ng if you suspect unauthorized access to any account.
- Access within a Merchant account is role-based — Owner, Administrator, Manager, and Staff roles each have different permissions. Merchants are responsible for assigning roles appropriately and for the actions of Staff Accounts they create.
6. Subscription Plans, Fees & Billing
- Access to the Platform requires an active paid Subscription Plan. Current plans and pricing are published at menyoo.ng and are subject to change with notice.
- Each plan includes a maximum number of branches (Starter and Premium: 1; Platinum: 2; Enterprise: 10). Attempting to add a branch beyond your plan's limit will be blocked until you upgrade.
- Fees are billed in advance on a monthly or annual basis, as selected at signup, and are non-refundable except where required by law or expressly stated otherwise.
- We may change Subscription Plan pricing on renewal with at least 30 days' notice. Continued use after a price change takes effect constitutes acceptance.
- Failure to pay may result in suspension or downgrade of your account, subject to the notice period set out in our billing communications.
7. Payments & Third-Party Payment Processors
Payments made through the Platform — including Customer payments for orders, and Merchant subscription fees — are processed by licensed third-party payment service providers (including Paystack). Menyoo does not directly collect or store full payment card details; these are handled by our payment processor in accordance with applicable Central Bank of Nigeria requirements and card network standards. Use of payment features is also subject to the applicable payment processor's own terms.
8. Merchant Responsibilities
- Merchants are solely responsible for the accuracy of their menu listings, pricing, descriptions, and availability, and must ensure pricing displayed to Customers is clear and not misleading, consistent with the Federal Competition and Consumer Protection Act 2018.
- Merchants are solely responsible for food safety, quality, preparation, and compliance with all applicable food safety, health, hospitality licensing, and tax laws in their operating jurisdiction. Menyoo provides software tools; it does not prepare, inspect, or handle food.
- Merchants are responsible for the accuracy of payroll, tax, and statutory deduction figures they rely on from the Platform. Payroll tax calculations provided by the Platform are a computational aid based on published tax information and should be independently verified with a qualified accountant before use, particularly for figures affecting statutory remittances.
- Merchants must ensure they have a lawful basis to input employee and Customer personal data into the Platform, and must comply with their own obligations as a data controller under the Nigeria Data Protection Act 2023.
9. Orders Between Merchants and Customers
When a Customer places an order with a Merchant through the Platform, a contract for the sale of goods (food, drink, or other items) is formed directly between the Customer and the Merchant. Menyoo is not a party to that sale — we provide the technology that facilitates it. Disputes about order accuracy, food quality, refunds, or delivery are between the Customer and the Merchant; Menyoo is not responsible for fulfilling, refunding, or guaranteeing orders placed with a Merchant.
10. Intellectual Property
The Platform, including its software, design, and underlying technology, is owned by Menyoo Innovations LTD and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Platform for your business operations — nothing here transfers ownership of the Platform to you.
Merchant Content (your menu data, employee records, inventory data, branding, and so on) remains yours. By using the Platform, you grant Menyoo a license to host, process, and display that content solely as necessary to provide the Services to you.
11. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended);
- Attempt to gain unauthorized access to any part of the Platform, other Merchants' accounts, or underlying infrastructure;
- Interfere with or disrupt the integrity or performance of the Platform;
- Use the Platform to process payment card data outside of the integrated, licensed payment processor;
- Upload false, misleading, or fraudulent menu, pricing, or business information.
12. Service Availability & Modifications
We aim to keep the Platform available and reliable but do not guarantee uninterrupted access. We may perform maintenance, and features may be temporarily unavailable. We are not liable for losses arising from planned maintenance or from outages outside our reasonable control.
13. Termination & Suspension
- You may stop using the Platform and close your account at any time by contacting hi@menyoo.ng.
- We may suspend or terminate access to the Platform if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your account poses a security or legal risk to Menyoo or other users.
- On termination, we will make Merchant Content available for export for a reasonable period (at least 30 days) before deletion, except where we are required to retain records for longer under applicable law (including tax and employment record-keeping obligations).
14. Limitation of Liability & Disclaimers
The Platform is provided "as is" and "as available." To the maximum extent permitted by Nigerian law, Menyoo disclaims all warranties, express or implied, regarding the Platform's fitness for a particular purpose, and Menyoo's total liability arising from these Terms or use of the Platform is limited to the fees paid by the Merchant in the 3 months preceding the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded under Nigerian law, including under the Federal Competition and Consumer Protection Act 2018.
15. Indemnification
You agree to indemnify and hold Menyoo harmless from claims, damages, or expenses arising from your use of the Platform, your Merchant Content, your violation of these Terms, or your violation of any applicable law, including in connection with your relationship with your own Customers or employees.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. In the event of a dispute, the parties will first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to arbitration under the Arbitration and Mediation Act 2023 or to the courts of the Federal Capital Territory, Abuja, which shall have exclusive jurisdiction over matters not subject to arbitration.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to Merchants by email or through the Platform at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
